What is an offering memorandum?

An offering memorandum (OM) is the marketing document that presents a commercial real estate investment to prospective buyers or investors.

An offering memorandum is the package a broker or sponsor puts in front of the market to sell a property or raise capital for a deal. It pulls the story together in one place: a cover, the property overview, photos, location and market analysis, a financial summary, demographics, and the investment thesis.

It is a marketing document, not a legal one. The OM is meant to inform and persuade qualified buyers; the binding legal disclosures for a securities raise live in a separate private placement memorandum (PPM). Most OMs open with a confidentiality note and a disclaimer that figures are estimates to be independently verified.

Why it matters

The OM is usually the first detailed impression a buyer gets of a deal. A clear, accurate one builds confidence; a sloppy or unsupported one invites discounts and re-trades.

Where it shows up in your OM

omgen drafts the full OM from a property address: the cover, overview, market narrative, branded maps, and demographics. You edit every section and confirm each fact before exporting a client-ready PDF. Every field is labeled API-sourced, AI-inferred, or user-entered, so nothing goes out under your name that you haven't approved.

Frequently asked questions

What is included in an offering memorandum?
A typical OM covers the executive summary and investment highlights, a property overview with photos, location and submarket analysis, the financial summary (rent roll, NOI, pricing, and cap rate), tenant or unit detail, area demographics, and the offering process. The exact sections vary by asset type and deal.
Is an offering memorandum a legal document?
No. An OM is a marketing document used to present a deal to qualified buyers. The legally binding disclosures for a private securities offering belong in a private placement memorandum (PPM), which is prepared with securities counsel.
